THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of June 27, 2007 by and among (i) SUNSTONE HOTEL INVESTORS, INC., a Maryland corporation (the “Company”), (ii) SUNSTONE HOTEL PARTNERSHIP, LLC, a Delaware limited liability company (the “Operating Partnership”), and (iii) BEAR, STEARNS & CO.
