THIS SHARE PURCHASE AGREEMENT (“Agreement”) is made and entered into on April 16, 2009, by and between: EBAY INC., a Delaware corporation (“Parent”), EBAY KTA (UK) LTD., a company organized under the laws of the United Kingdom and an indirect wholly-owned subsidiary of Parent (the “Selling Shareholder”); and GMARKET INC., a company organized under the laws of the Republic of Korea (“Purchaser”).
