This Agreement (“Agreement”), dated November 21, 2000, is between Union Bankshares Corporation, a Virginia corporation (the “Company”), and G. Neal (the “Officer”), and to which Union Bankshares Corporation, a Virginia corporation and parent company of the Bank (the “Company”), is made a party, and is amended as of December 31, 2008, in order to comply with applicable provisions of Section 409A of the Internal Revenue Code of 1986, as amended.
