AMENDMENT NO. 3 TO CREDIT AGREEMENT, dated as of [December , 2008] (this “Amendment Agreement”), among TIMBERLANDS II, LLC, a Delaware limited liability company (“Wells Timberland”), and WELLS TIMBERLAND ACQUISITION, LLC, a Delaware limited liability company (“Wells Acquisition”; Wells Timberland and Wells Acquisition each a “Current Borrower” and together, the “Current Borrowers”), the various other Loan Parties (such capitalized term and all other capitalized terms not defined herein shall have the meanings provided for in Article I) that are parties hereto, the various financial institutions parties hereto (collectively, the “Lenders”), and COBANK, ACB, as administrative agent (in such capacity, the “Administrative Agent”) for the Lenders.

AMENDMENT NO. 4 TO SUBORDINATED CREDIT AGREEMENT, dated as of December __, 2008 (this “Amendment”), among TIMBERLANDS II, LLC, a Delaware limited liability company (“Wells Timberland”), WELLS TIMBERLAND ACQUISITION, LLC, a Delaware limited liability company (“Wells Acquisition”; Wells Timberland and Wells Acquisition, each an “Existing Borrower” and, collectively, the “Existing Borrowers”), WELLS TIMBERLAND OPERATING PARTNERSHIP L.P., a Delaware limited partnership (“Wells Partnership” or the “Additional Borrower”), the various other Loan Parties that are parties hereto, the various financial institutions parties hereto (collectively, the “Lenders”), and WACHOVIA BANK, NATIONAL ASSOCIATION, as administrative agent (in such capacity, the “Administrative Agent”) for the Lenders.

THIS SECOND AMENDMENT TO PLEDGE AGREEMENT (the “Amendment”) dated as of December 18, 2008 is made by Wells Timberland Operating Partnership, L.P., a Delaware limited partnership (“Wells Partnership”), Wells Timberland Acquisition, LLC, a Delaware limited liability company (“Wells Acquisition”; Wells Partnership and Wells Acquisition are collectively referred to as the “Grantors” and individually as a “Grantor”), and Wachovia Bank, National Association, as Administrative Agent (in such capacity, the “Administrative Agent”) for the Lenders under that certain Subordinated Credit Agreement dated as of October 9, 2007 among Timberlands II, LLC, a Delaware limited liability company (“Wells Timberland”), Wells Acquisition, the various lending institutions from time to time parties thereto, and the Administrative Agent, as amended.

THIS AGREEMENT is made as of December 18th, 2008 between Wells Timberland Operating Partnership L.P. (“Wells Partnership”), a Delaware limited partnership, as the sole member and hereinafter referred to as “Seller” of Wells Timberland Acquisition, LLC, a Delaware limited liability company (“Company”), and Wells Real Estate Funds, Inc., a Georgia corporation (“Buyer”), which cumulatively shall be referred to as the “Parties” or independently as a “Party.”
