This SECOND AMENDED AND RESTATED EMPLOYMENT AGREEMENT (“this Agreement”) is made and entered into as of December 17, 2008, by and between IMMUNOMEDICS, INC., a Delaware corporation with its principal office and place of business in Morris Plains, New Jersey (“Immunomedics” or the “Company”) and DR. DAVID M. GOLDENBERG, an individual presently residing in Mendham, New Jersey (“Dr. Goldenberg”).
