THIS AGREEMENT is made as of June 18, 2008, by and among Trump Entertainment Resorts, Inc., a Delaware corporation (the “Company”), Trump Plaza Associates, LLC (the “Plaza”), Trump Taj Mahal Associates, LLC (the “Taj”), Trump Marina Associates, LLC (the “Marina”), (the “Marina” and, collectively with the Plaza, the Taj, and the Company, the “Indemnitors”), and Harry C. Hagerty, III (the “Indemnitee”), a director of the Company.
