THIS AMENDED AND RESTATED AGREEMENT (“Agreement”), made and entered into as of the 1st day of May, 2008 by and among FARM BUREAU LIFE INSURANCE COMPANY, (hereinafter the “Company”), an Iowa corporation, on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A hereto as may be amended from time to time (each such account hereinafter referred to as the “Account”); and FIDELITY DISTRIBUTORS CORPORATION (hereinafter the “Underwriter”), a Massachusetts corporation; and each of VARIABLE INSURANCE PRODUCTS FUND, VARIABLE INSURANCE PRODUCTS FUND II, VARIABLE INSURANCE PRODUCTS FUND III, VARIABLE INSURANCE PRODUCTS FUND IV and VARIABLE INSURANCE PRODUCTS FUND V, each an unincorporated business trust organized under the laws of the Commonwealth of Massachusetts (each referred to hereinafter as the “Fund”).

This letter will confirm our understanding and agreement with respect to payments to be made to you, as distributor and underwriter of certain variable annuity and variable life insurance contacts (“Contracts”) issued by your Company (“Insurer”), pursuant to a Distribution and Shareholder Services Plan (the “Plan”) adopted by EquiTrust Variable Insurance Series Fund (the “Fund”), on behalf of the Service Class Shares of the portfolios of the Fund (“Portfolios”), pursuant to Rule 12b-1 under the Investment Company Act of 1940, as amended (the “1940 Act”). The Portfolios are offered pursuant to a participation agreement, dated January 15, 2007, under which the Fun has agreed to make shares of the Portfolios available for purchase by one or more of the Insurer’s separate accounts or divisions thereof, in connection with the allocation by Contract owners of purchase payments to corresponding investment options offered under the Contracts.
