This dealer agreement (“Dealer Agreement”) is entered into between Natixis Distributors, L.P. (“our”, “us”, or “we”) and the undersigned company (“you”). We offer to sell to you shares of each of the mutual funds distributed by us (the “Funds” and each a “Fund”), for each of which Funds we are a principal underwriter as defined in the Investment Company Act of 1940, as amended (the “Act”), and from which we have the right to purchase shares.1

This Amendment is made as of this 17th day of September, 2007, between Hansberger International Series (f.k.a. Hansberger Institutional Series) and each of its portfolios listed on exhibit A (collectively, the “Fund”) to the Transfer Agency and Service Agreement dated September 12, 2005 between the Fund and Boston Financial Data Services, Inc. (the “Transfer Agent”) (the “Agreement”). In accordance with Section 15.1_ (Amendment) of the Agreement the parties desire to amend the Agreement as set forth herein.

This Amendment is made as of this 29th day of October, 2007, between Hansberger International Series and each of its portfolios listed on exhibit A (collectively, the “Fund”) to the Transfer Agency and Service Agreement dated September 12, 2005 between the Fund and Boston Financial Data Services, Inc. (the “Transfer Agent”) (the “Agreement”). In accordance with Section 3.1 (Fee Schedule) and Section 15.1_ (Amendment) of the Agreement the parties desire to amend the Agreement to update the address for notices to the Fund and to provide for a voluntary waiver of the CUSIP minimum fee in 2008.

This Agreement shall be deemed for all purposes to constitute a separate and discrete agreement between State Street and each of the series of shares of the Trusts as listed on Schedule B to this Agreement (each a “Fund” and collectively, the “Funds”) as it may be amended by the parties, and no series of shares of the Trusts shall be responsible or liable for any of the obligations of any other series of the Trusts under this Agreement or otherwise, notwithstanding anything to the contrary contained herein. This Agreement will be effective with respect to each Fund on the date set forth opposite each Fund’s name on the attached Schedule B-1.
