This CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT made as of the 3rd of July 2007 (the “Agreement”), between Orthovita Inc., a Pennsylvania corporation, with offices at 77 Great Valley Parkway, Malvern, Pennsylvania 19355 (the “Company”) and Maarten Persenaire (“Employee”).

This Fifth Amendment to the Development, Manufacturing and Supply Agreement (the “Fifth Amendment”), dated as of February 21, 2007, is between Kensey Nash Corporation, a Delaware corporation, having its principal place of business at 735 Pennsylvania Dr., Exton, PA 19341 (hereinafter referred to as “KNC”) and Orthovita, Inc., a Pennsylvania corporation, having its principal place of business at 77 Great Valley Parkway, Malvern, PA 19355 (hereinafter referred to as “Orthovita”).

This Supply and License Agreement (this “Agreement”) is entered into as of November 5, 2007 (“Effective Date”) by and between (i) Allergan, Inc., a Delaware corporation, and Allergan Sales, LLC, a Delaware limited liability company, each having a principal place of business at 2525 Dupont Drive, Irvine, California 92612 (collectively “Allergan”) and (ii) Orthovita, Inc., a Pennsylvania corporation, having a principal place of business at 77 Great Valley Parkway, Malvern, Pennsylvania 19355 (“Orthovita”). Allergan and Orthovita shall hereinafter be individually referred to as a “Party” and collectively as the “Parties”.
