AMENDMENT NO. 1, dated as of November 16, 2007 (this “Amendment”), to the Second Lien Credit Agreement, dated as of June 18, 2007 (as amended, supplemented, restated or otherwise modified from time to time, the “Credit Agreement”), is entered into by and among DANKA OFFICE IMAGING COMPANY, a Delaware corporation, as borrower (the “Borrower”), DANKA HOLDING COMPANY, a Delaware corporation, as guarantor (“Holdings” and together with the Borrower, the “Loan Parties”)), the Lenders (as defined in the Credit Agreement) and GENERAL ELECTRIC CAPITAL CORPORATION (“GE Capital”), as administrative agent for the Lenders (in such capacity, and together with its successors and permitted assigns, the “Administrative Agent”).

AMENDMENT NO. 1, dated as of November 14, 2007 (this “Amendment”), to the First Lien Credit Agreement, dated as of June 18, 2007 (as amended, supplemented, restated or otherwise modified from time to time, the “Credit Agreement”), is entered into by and among DANKA OFFICE IMAGING COMPANY, a Delaware corporation, as borrower (the “Borrower”), DANKA HOLDING COMPANY, a Delaware corporation, as guarantor (“Holdings” and together with the Borrower, the “Loan Parties”)), the Lenders (as defined in the Credit Agreement), the L/C Issuer (as defined in the Credit Agreement) and GENERAL ELECTRIC CAPITAL CORPORATION (“GE Capital”), as administrative agent for the Lenders and the L/C Issuers (in such capacity, and together with its successors and permitted assigns, the “Administrative Agent”).
