This Amended and Restated Distribution Agreement (the “Agreement”) is made as of the 1st day of July, 2007 by and between Bridgeway Funds, Inc., a Maryland corporation that acts as an open-end investment company, with its principal office and place of business at 5615 Kirby Drive, Suite 518, Houston, Texas 77005 (the “Client”), and Foreside Fund Services, LLC, a Delaware limited liability company, with its principal office and place of business at Two Portland Square, Portland, Maine 04101 (“Foreside”).

This Administrative Services Agreement (the “Agreement”) is made by and between Bridgeway Capital Management, Inc., a Texas corporation (the “Administrator”), and Bridgeway Funds, Inc., a Maryland corporation (the “Company”), on behalf of each of its series listed on the attached Schedule A (each a “Fund” or collectively, the “Funds”), as such Schedule A is amended from time to time. This Agreement amends and restates in its entirety the Master Administrative Services Agreement previously entered into between the Administrator and the Company dated as of July 1, 2004 (as amended and restated as of June 7, 2006) and further amends the Agreement initially dated March 1, 2007.
