This EXECUTIVE CHANGE OF CONTROL AGREEMENT (“Agreement”) is made as of the 18th day of December, 2006, between CIRCOR, INC., a Massachusetts corporation (the “Company”), and Richard A. Broughton (“Executive”).

This Agreement is made as of this 18th day of December 2006 (“Agreement”), by and between CIRCOR International, Inc., a Delaware corporation (the “Company,” which term shall include, where appropriate, any Entity (as hereinafter defined) controlled directly or indirectly by the Company) and Richard A. Broughton (“Indemnitee”).
