This Registration Rights Agreement (this “Agreement”), is made and entered into as of October , 2006, by and among Synova Healthcare Group, Inc., a Nevada corporation (the “Company”), and the purchaser signatory hereto (“Purchaser”).

THIS CONVERTIBLE NOTE PURCHASE AGREEMENT (this “Agreement”), is made on this day of October, 2006, by and among Synova Healthcare Group, Inc., a Nevada corporation (the “Company”), and each of the parties listed on Schedule 1.1 attached hereto (each a “Purchaser” and collectively the “Purchasers”). As a matter of convenience, in the event that this Agreement relates to one sole Purchaser rather than multiple Purchasers, any references to “Purchasers” herein shall refer to such sole Purchaser.

This Distribution Agreement (this “AGREEMENT”) is made on this 26th day of July, 2006 by and between Ovulation Tester, LLC (“OT”), a Limited Liability Company organized and existing under the laws of the State of Delaware; and Synova Healthcare, Inc.(the “DISTRIBUTOR”), a company organized and existing under the laws of the State of Delaware, U.S.A., of 1400 North Providence Road, Suite 6010, Media, Pennsylvania, U.S.A. 19063 (collectively, the “PARTIES”).

Year one shall begin on the first day of the month immediately following the first shipment of Products by Distributor to its initial customer(s) (“Day 1”) and such first shipment will occur on or before November 1, 2006. Each successive year shall be for the 12 month period immediately following the conclusion of the prior year.
