This COLLABORATION AND LICENSE AGREEMENT (the “Agreement”), effective as of June 9, 2005 (the “Effective Date”), is made by and between Toray Industries, Inc., a Japanese corporation, having a principal place of business at Toray Bldg., 2-1, Nihonbashi-Muromachi 2-chome, Chuo-ku, Tokyo 103-8666, Japan (“Toray”), and Acologix, Inc., a Delaware corporation, having offices at 3960 Point Eden Way, Hayward, CA 94545, U.S.A. This Development and License Agreement (the “Agreement”) takes effect June 9, 2006 (the “Effective Date”) between Acologix, Inc. (“Acologix”), a Delaware corporation having its principal offices at 3960 Point Eden Way, Hayward, CA 94545, and Toray Industries, Inc. (“Toray”), a corporation incorporated in Japan having its principal offices at Nihonbashi Mitsui Tower, 1-1, Nihonbashi-Muromachi 2-chome, Chuo-ku, Tokyo 103-8666, Japan. Each of Acologix and Toray is a “Party” and collectively they are the “Parties”.
