This letter (this “Letter Agreement”) sets forth the agreement between Full House Resorts, Inc. (the “Company”) and William P. THIS REVISED & RESTATED CLASS III GAMING MANAGEMENT AGREEMENT (this “Agreement”) has been entered into as of the 26TH day of July, 2006, by and among the NAMBÉ PUEBLO GAMING ENTERPRISE BOARD (the “Board”), GAMING ENTERTAINMENT (SANTA FE), LLC, a Delaware limited liability company established and operated by Full House Resorts, Inc., a Delaware corporation, (“Manager”) (jointly and severally the “Parties” or “Party”) and the PUEBLO OF NAMBÉ (the “Tribe”) for the limited purposes stated in Sections 3.4, 5, 7.3, 8.2, 9.5, 9.16, 9.18, 13.1 and 17.
