GUARANTEE AND CONTRIBUTION AGREEMENT (this “Agreement”) dated as of October 20, 2006, among CONVERGYS CORPORATION, an Ohio corporation (the “Borrower”), each of the subsidiaries of the Borrower that is listed on Schedule I hereto or that becomes a party hereto after the date hereof (each such subsidiary, individually, a “Guarantor” and, collectively, the “Guarantors”) and JPMORGAN CHASE BANK, N.A., as administrative agent (the “Administrative Agent”) for the Lenders (as defined in the Credit Agreement referred to below).
