THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made as of the 11th day of September, 2006 (“Effective Date”) by and between Robert Fox and Lina Watson, individuals who are British citizens with principal business offices are located at 5 Welbury Avenue, Luton, Bedfordshire, LU3 2DZ England (together, “Seller”), and Internet Revenue Services, Inc., a Nevada corporation whose principal offices are located at 222 Kearny Street, Suite 550, San Francisco, CA 94108 (“Buyer” or “IRS, Inc.”).
