THIS THIRD AMENDMENT TO LETTER AGREEMENT (the “Amendment”) is entered into effective the 1st day of March, 2006, by Novoste Corporation, a Florida corporation (hereinafter referred to as the “Company”) and Daniel G. Reference is hereby made to the Amended and Restated Asset Purchase Agreement, dated as of October 12, 2005, as amended pursuant to Amendment No. 1 to Amended and Restated Asset Purchase Agreement dated as of November 30, 2005 and as further amended pursuant to Amendment No. 2 to Amended and Restated Asset Purchase Agreement dated as of January 27, 2006 (the “Amended and Restated Asset Purchase Agreement”), by and among Novoste Corporation (“Novoste”), Best Vascular, Inc. (“Best Vascular”) and Best Medical International, Inc. (“Best Medical”).
