This STOCK PURCHASE AND SALE AGREEMENT (this “Agreement”) made on this 29th day of December, 2005, by and among OMNI Energy Services Corp., a Louisiana corporation (the “Buyer”), Preheat, Inc., a Louisiana corporation (the “Company”), and the undersigned holders of 100% of the outstanding common stock of the Company (the “Shareholders”).
