AMENDED AND RESTATED CREDIT AGREEMENT, dated as of November 3, 2005, among TIME WARNER TELECOM INC., a Delaware corporation (“TWTC”), TIME WARNER TELECOM HOLDINGS INC., a Delaware corporation (the “Borrower”), the several banks and other financial institutions or entities from time to time parties to this Agreement as lenders (the “Lenders”), WACHOVIA BANK, NATIONAL ASSOCIATION, as syndication agent (in such capacity, the “Syndication Agent”), MORGAN STANLEY SENIOR FUNDING, INC., as documentation agent (in such capacity, the “Documentation Agent”), and LEHMAN COMMERCIAL PAPER INC.
