FIVE YEAR CREDIT AGREEMENT, dated as of June 3, 2005, by and among CVS CORPORATION, a Delaware corporation (the “Borrower”), the Lenders party hereto from time to time (each a “Lender” and, collectively, the “Lenders”), BANK OF AMERICA, N.A., CREDIT SUISSE FIRST BOSTON, and WACHOVIA BANK, NATIONAL ASSOCIATION, as co-syndication agents (in such capacity, each a “Co-Syndication Agent”), SUNTRUST BANK, as documentation agent (in such capacity, a “Documentation Agent”), and THE BANK OF NEW YORK (“BNY”), as administrative agent for the Lenders (in such capacity, the “Administrative Agent”).
