This Deferred Stock Award Agreement (the “Agreement”), made as of the 1st day of June, 2005 (the “Grant Date”) by and between DiamondRock Hospitality Company (the “Company”), and Sean M. Mahoney (the “Grantee”), evidences the grant by the Company of certain shares of Deferred Stock set forth above (the “Award”) to the Grantee on such date and the Grantee’s acceptance of the Award in accordance with the provisions of the DiamondRock Hospitality Company 2004 Stock Option and Incentive Plan (the “Plan”).
