CREDIT AGREEMENT (the “Agreement”) dated as of June 3, 2005 among MARRIOTT INTERNATIONAL, INC., a Delaware corporation (the “Company”), the banks listed on the signature pages hereof under the heading “Banks” (the “Banks”) and the other Lenders (as defined below) party hereto from time to time, BARCLAYS BANK PLC, as syndication agent ( the “Syndication Agent”) and CITIBANK, N.A., as administrative agent (in such capacity, the “Administrative Agent”) for the Lenders hereunder.
