THIS AGREEMENT (“Agreement”), made as of May 24, 2005 (the “Grant Date”), evidences an award by CABOT OIL & GAS CORPORATION, a Delaware corporation (the “Company”), to (the “Grantee”), a nonemployee director of the Company, pursuant to the Cabot Oil & Gas Corporation 2004 Incentive Plan (the ”Plan”). Capitalized terms used and not otherwise defined herein shall have the meaning ascribed thereto in the Plan.
