AGREEMENT AND PLAN OF MERGER (the “Agreement”), dated as of April 18, 2005, by and between BOSTON PRIVATE FINANCIAL HOLDINGS, INC., a Massachusetts corporation (the “Buyer”), and GIBRALTAR FINANCIAL CORPORATION, a savings and loan holding company registered under the Home Owners’ Loan Act of 1933 and incorporated in Florida (the “Seller”).
