This SHAREHOLDERS AGREEMENT (this “Agreement”), is made and entered into as of April 7, 2005 among WHSHC, L.L.C., a Delaware limited liability company, and W9/WHSHC, L.C.C. I, a Delaware limited liability company (individually a “Shareholder” and collectively the “Shareholders”) and Strategic Hotel Capital, Inc., a Maryland corporation (the “Company”).
