This REGISTRATION RIGHTS AGREEMENT dated March 22, 2005 (the “Agreement”) is entered into by and among DaVita Inc., a Delaware corporation (the “Company”), the guarantors listed in Schedule 1 hereto (the “Guarantors”), and J.P. Morgan Securities Inc. (“JPMorgan”), on behalf of itself and on behalf of the several Initial Purchasers identified on Schedule 1 to the Purchase Agreement (the “Initial Purchasers”).
