This ASSET PURCHASE AGREEMENT (this “Agreement”) is entered into as of February 16, 2005, by and among FTI CONSULTING, INC., a Maryland corporation (“FTI”), FTI, LLC, a Maryland limited liability company and a wholly-owned subsidiary of FTI (“FTI LLC”), FTI REPOSITORY SERVICES, LLC, a Maryland limited liability company and a wholly-owned subsidiary of FTI (“FTIRS”), FTI CONSULTING LTD., a corporation incorporated in England and Wales and a wholly-owned subsidiary of FTI (“FTIC”), FTI AUSTRALIA PTY LTD, an Australian corporation and a wholly-owned subsidiary of FTI (“FTIAU”; collectively, FTI LLC, FTIRS, FTIC and FTIAU are referred to herein as the “Buyers”), EDWARD J.
