WHEREAS, Ernest L. Godshalk (“Employee”) wishes to retire voluntarily from service as an employee, director and officer of Varian Semiconductor Equipment Associates, Inc. (“VSEA” or the “Company”) and resign from his position of President and Chief Operating Officer;
