This AMENDED AND RESTATED TRUST AGREEMENT dated as of August 31, 2004 between ACE SECURITIES CORP., a Delaware corporation (the “Seller”), and WELLS FARGO DELAWARE TRUST COMPANY, a Delaware limited purposes trust company, as Owner Trustee, amends and restates in its entirety that certain Trust Agreement dated as of July 20, 2004 between the Seller and the Owner Trustee.
