(the “Adviser”) a Massachusetts corporation, Boston Advisors Trust (the “Trust”), a Massachusetts business trust, on behalf of its series, Boston Advisors Cash Reserves Fund and Boston Advisors U.S. Government Money Market Fund (each a “Fund”, collectively the “Funds”), and MONY Capital Management, Inc. (the “Subadviser”), a Delaware corporation.

This is to confirm that, in consideration of the agreements hereinafter contained, the above-named investment company, Boston Advisors Trust (the “Trust”), has agreed that you shall be, for the period of this Agreement, the distributor of shares of each Series of the Trust set forth on Exhibit A hereto, as such Exhibit may be revised from time to time (each, a “Series”). For purposes of this Agreement the term “Shares” shall mean the authorized shares of the relevant Series.
