This Stock Purchase Warrant is issued in connection with that certain Securities Purchase Agreement dated January 20, 2004 by and among LITHIUM TECHNOLOGY CORPORATION, a Delaware corporation (the “Company”), and certain Buyers named therein (the “Securities Purchase Agreement”).
