THIS CERTIFIES THAT, for value received, Aventis Pharma Deutschland GmbH, a German limited liability company (“Aventis”) or its registered assigns (Aventis or its registered assigns shall hereinafter be referred to as “Holder”), is entitled, subject to the terms and conditions set forth below, to subscribe for and purchase up to 323,850 shares (as adjusted pursuant to the provisions hereof, the “Shares”) of the fully paid and nonassessable common stock (“Common Stock”), par value $.001 per share, of Nanogen, Inc., a Delaware corporation (the “Company”) at an exercise price per share of $5.618 (such price and such other price as shall result, from time to time, from adjustments specified herein is referred to as the “Exercise Price”).
