THIS ASSET PURCHASE AGREEMENT (“Agreement”) is entered into as of March 22, 2004, by and among, CARDIODYNAMICS INTERNATIONAL CORPORATION, a California corporation (“Parent”), VERMED, INC., a Delaware corporation and wholly owned subsidiary of Parent (“Buyer”), and VERMONT MEDICAL, INC., a Vermont corporation (“Seller”).
