PPC Escrow Corp., a Delaware corporation (the “Company”) and wholly owned subsidiary of Pilgrim’s Pride Corporation, a Delaware corporation (“Parent”), proposes to issue and sell to Credit Suisse First Boston LLC (the “Initial Purchaser”), upon the terms set forth in a purchase agreement of even date herewith (the “Purchase Agreement”), $100,000,000 aggregate principal amount of its 9 1/4% Senior Subordinated Notes due November 15, 2013 (the “Initial Securities”). The Initial Securities will be issued pursuant to an Indenture (the “Indenture”), dated as of the Closing Date (as defined in the Purchase Agreement), among the Company and The Bank of New York (the “Trustee”).

Pilgrim’s Pride Corporation, a Delaware corporation (the “Company”), proposes to make an offer (the “Exchange Offer”) to exchange all of its outstanding 9 1/4% Old Senior Subordinated Notes (the “Old Notes”) for its 9 1/4% New Senior Subordinated Notes (the “New Notes”). The terms and conditions of the Exchange Offer as currently contemplated are set forth in a prospectus, dated January , 2004 (the “Prospectus”), proposed to be distributed to all record holders of the Old Notes. The Old Notes and the New Notes are collectively referred to herein as the “Notes.”
