THIS OPTION AGREEMENT (the “Agreement”), dated as of October 15, 2003, is made and entered into by and among Syntroleum Corporation, a Delaware corporation (the “Company”), and Mr. Ziad Ghandour (the “Holder”), principal of TI Capital Management (the “Consultant”). This Agreement is being executed in connection with the letter agreement dated October 3, 2003 between the Company and the Consultant, as amended (the “Letter Agreement”).

This Stock Option Agreement (the “Agreement”) made effective as of the 6th day of October, 2003, by and between Syntroleum Corporation, a Delaware corporation (“Syntroleum”) and Wayne Berman (“Grantee”), evidences the grant by Syntroleum of an option (the “Option”) to Grantee to purchase shares of Syntroleum common stock, par value $0.01 per share (“Common Stock”), and Grantee’s acceptance of the Option in accordance with the provisions of the Syntroleum 1993 Stock Option and Incentive Plan (the “Plan”).
