This Fifth Amendment to Fourth Amended and Restated Agreement of Limited Partnership of Kilroy Realty, L.P. (this “Amendment”) is entered into as of October 23, 2003 by and between Kilroy Realty Corporation (“General Partner”), a Maryland corporation, as the general partner of Kilroy Realty, L.P., a Delaware limited partnership (the “Partnership”) and the parties listed on the signature pages hereto.
