This AGREEMENT FOR PURCHASE AND SALE OF ASSETS (this “Agreement”) is made as of the 29th day of September 2003 (the “Closing Date”) by and among Sound Advantage, LLC, a California limited liability company (“Purchaser”), Applied Voice & Speech Technologies, Inc., a Delaware corporation (“AVST”), and Captaris, Inc., a Washington corporation (“Seller”).
