Health Management Associates, Inc., a Delaware corporation (the “Company”), proposes to issue and sell to the several parties named in Schedule A hereto (the “Initial Purchasers”) for whom you (the “Representatives”) are acting as representatives an aggregate of $500,000,000 in principal amount of its 1.50% Convertible Senior Subordinated Notes due 2023 (the “Firm Notes”), subject to the terms and conditions set forth herein. The Company also proposes to issue and sell to the Initial Purchasers not more than an additional $75,000,000 principal amount of its 1.50% Convertible Senior Subordinated Notes due 2023 (the “Additional Notes”), if requested by the Initial Purchasers as provided in Section 2 hereof. The Firm Notes and the Additional Notes are herein collectively referred to as the “Notes”. This Registration Rights Agreement (this “Agreement”) is made and entered into as of July 29, 2003 by and among Health Management Associates, Inc., a Delaware corporation (the “Company”), Banc of America Securities LLC, Lehman Brothers Inc., and Wachovia Capital Markets LLC and the several Persons listed on Schedule I hereto (each an “Initial Purchaser” and, collectively, the “Initial Purchasers”), each of whom has agreed to purchase the Company’s 1.50% Convertible Senior Subordinated Notes due 2023 (the “Notes”) pursuant to the Purchase Agreement (as defined below).
