This Share Purchase Agreement (this “Agreement”) is made and entered into as of January 5, 2010 (the “Agreement Date”), by and among Versar, Inc., a Delaware corporation (“Versar”) and GEOI 1 Limited, a private limited company of England and Wales with company number 07114583 whose registered office is at Protection House, Sherbourne Drive, Tilbrook, Milton Keynes MK7 8HX (“Purchaser”), Professional Protection Systems, Ltd., a private limited company of England and Wales (the “Company”), Stephen Nobbs (“Nobbs”), Mark Whitcher (“Whitcher”), Stephen Kimbell, Peter Holden, Timothy Clark, Jonathan Hambleton, Richard Brown, Simon Cuthbertson, Oliver Wright and Ingrid Sladden (each a “Seller” and together the “Sellers”) and Richard Martin Frimston, Stuart Leaman and Richard Benson in their capacity as executors of the estate of Neil Bruce Copp, being a deceased shareholder (the “Neil Bruce Copp Shareholder”), each of whom is an existing shareholder of the Company.
