THIS AGREEMENT, (this “Agreement”) is made and entered into as of the 22nd day of February 2012 (the “Effective Date”), by and between Highland Global Partners, Inc. (the “Purchaser”), a New York corporation with its principal place of business at 445 Central Avenue, Suite 366, Cedarhurst, New York 11516, and Advantage Disposal Solutions, Inc., (the “Company”) presently a Wyoming corporation with its principal place of business at 42583 North Coyote Road, Queen Creek, Arizona 85140.
