This Rights Agreement (“Agreement”), is dated as of January 12, 2009, as amended on January 11, 2012, between On Track Innovations Ltd., an Israeli company (the “Company”), and Continental Stock Transfer & Trust Company, a New York Corporation, as rights agent (the “Rights Agent”).
