This Technology Transfer Agreement made and dated January 6, 2003 is between RESIN SYSTEMS INC., an Alberta, Canada corporation (the “Vendor”) and RESIN SYSTEMS INTERNATIONAL LTD., a corporation incorporated under the laws of Barbados (the “Purchaser”).

This Agreement is being entered into by the Parties under Exchange Policy 5.4 - Escrow, Vendor Consideration and Resale Restrictions (the Policy) in connection with the amendment of a performance escrow agreement dated as of September 15, 1998 among Summerwood Industries Inc. (now the Issuer), Montreal Trust Company of Canada (now the Escrow Agent) Brian Carpenter, Greg Pendura and USCC Holding Company. The Issuer is a Tier 2 Issuer as described in Policy 2.1 - Minimum Listing Requirements.
