CREDIT AGREEMENT, dated as of August 17, 2004, among CITADEL BROADCASTING COMPANY, a Nevada corporation (the “Company”), CITADEL BROADCASTING CORPORATION, a Delaware corporation (“HoldCo”), the several lenders from time to time parties hereto (the “Lenders”), JPMORGAN CHASE BANK, as administrative agent for the Lenders (in such capacity, the “Administrative Agent”), BANK OF AMERICA, N.A., and WACHOVIA BANK, NATIONAL ASSOCIATION, as syndication agents for the Lenders (in such capacities, the “Syndication Agents”), and SUNTRUST BANK and HARRIS NESBITT FINANCING, INC.
