This LOAN AND SECURITY AGREEMENT (EX-IM LOAN FACILITY) (“EX-IM LOAN AGREEMENT”) dated as of March 25, 2011 (the “Closing Date”), between Silicon Valley Bank (“Bank”), a California corporation, and Adept Technology Inc., a Delaware corporation (“Borrower”), provides the terms on which Bank will lend to Borrower and Borrower will repay Bank. This Amendment No. 3 to Loan and Security Agreement (this “Amendment”) is dated as of March 25, 2011 (the “Amendment 3 Date”), and is entered into by and between Adept Technology, Inc., a Delaware corporation (the “Borrower”), and Silicon Valley Bank (“Bank”). Capitalized terms used herein without definition shall have the same meanings given them in the Loan Agreement (as defined below).
