This PURCHASE AND SALE AGREEMENT (this “Agreement”) is entered into this 13th day of June, 2016 (“Execution Date”), between NRP Oil and Gas LLC, a Delaware limited liability company (the “Seller”), and Lime Rock Resources IV-A, L.P., a Delaware limited partnership (the “Buyer”). The Buyer and the Seller are referred to herein, individually, as a “Party” and, collectively, as the “Parties.”
