AMENDMENT TO ASSET PUCHASE AND SALE AGREEMENT, dated as of July 2, 2010 (the “Agreement”), by and between KeyOn Communications Holdings, Inc., a Delaware company (“KeyOn”) on the one hand, and Technology Specialists Group, Inc., an Illinois company (“TSG”), on the other hand.
