This letter agreement hereby states the terms of your employment agreement with Arnold (the “Company”). THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (“Agreement”) is made at New York, NY, as of January 1, 2002, by and between Euro RSCG Worldwide, Inc. (“Corporation”), a Delaware corporation having its principal place of business in New York, NY, and Alain de Pouzilhac (“Executive”), an individual and resident of Paris, France. Throughout this Agreement, references to the Corporation shall mean the Corporation, itself, or any of its affiliated entities, as the context may require.
