WHEREAS, the Grantors have entered into that certain Indenture, dated as of May 10, 2016 (as supplemented or otherwise modified from time to time, the “Indenture”), by and among the Grantors and U.S. Bank National Association, as trustee (together with its successors in such capacity, the “Trustee”) and as Collateral Agent, pursuant to which the Company is issuing $980.0 million in aggregate principal amount of its 8.375% Senior Secured Notes due 2021 (together with any Additional Notes (as defined in the Indenture) issued pursuant to the Indenture, the “Notes”);
