THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of September 30, 2013, by and between MUTUAL FUND SERIES TRUST, an Ohio business trust (the “Trust”), on behalf of the KF Griffin Blue Chip and Covered Call Fund (the “Fund”), a series of the Trust, and Klingenstein, Fields & Co., L.L.C. (the “Adviser”), the adviser of the Fund.
